ProcessPartner.AI – Terms of Service (v3)

  1. Introduction

Welcome to ProcessPartner.AI.

These Terms of Service (“Terms”) govern access to and use of the ProcessPartner.AI platform and related services (the “Platform” or “Services”) by end users.

The Services are provided by ProcessPartner.AI Pty Ltd (ABN 51 684 425 349), located in New South Wales, Australia (“ProcessPartner.AI”, “we”, “us”, or “our”).

By accessing or using the Services, you agree to be bound by these Terms.

  1. Marketplace Purchases and Contractual Framework

If you purchase or access the Services through Microsoft Azure Marketplace, your subscription is governed by the Standard Contract for Microsoft Commercial Marketplace (“Standard Contract”) between you, Microsoft, and ProcessPartner.AI.

For Marketplace purchases:

  • The Standard Contract governs all commercial terms, including pricing, billing, renewal, cancellation, refunds, and payment.
  • These Terms supplement the Standard Contract and govern end-user access and use of the Platform.
  • In the event of any inconsistency, the Standard Contract prevails.

For subscriptions purchased directly from ProcessPartner.AI, these Terms govern both access and commercial use, subject to any separate written agreement.

  1. Account Registration and Access

You must create an account to access most features of the Platform.

You are responsible for:

  • Maintaining the confidentiality of your credentials
  • All activities performed under your account
  • Promptly notifying us of any unauthorised use or security breach

Access rights may be limited based on your subscription plan and assigned user roles.

  1. Subscriptions and Plans

ProcessPartner.AI offers subscription plans with varying features and access rights.

  • Subscription entitlements, plan scope, and user limits are defined by the plan under which the Services are purchased.
  • For Marketplace subscriptions, plan terms are defined in Microsoft Azure Marketplace and governed by the Standard Contract.
  • For direct subscriptions, plan details are presented at the time of purchase or in a separate agreement.
  1. Suspension and Termination

We may suspend or terminate access to the Services if you:

  • Violate these Terms
  • Engage in unlawful, fraudulent, or abusive activity
  • Pose a security or operational risk to the Platform or other users

For Marketplace subscriptions, suspension or termination may also occur in accordance with the status of your subscription under the Standard Contract.

Upon termination, access to the Services will cease in accordance with the applicable subscription terms.

  1. Acceptable Use

You agree not to:

  • Use the Services for any unlawful or prohibited purpose
  • Attempt to reverse engineer, decompile, or compromise the Platform
  • Interfere with system integrity, availability, or security
  • Share credentials with unauthorised users
  • Upload content that infringes intellectual property, privacy, or data protection rights

We may investigate and take appropriate action in response to violations of this section.

  1. AI-Generated Output Disclaimer

The Platform uses artificial intelligence and automation to generate recommendations, templates, and insights.

You acknowledge that:

  • AI-generated output may contain inaccuracies or omissions
  • You are responsible for reviewing and validating outputs before use
  • The Services do not provide legal, financial, or professional advice

You remain solely responsible for decisions made based on use of the Platform.

  1. Intellectual Property

ProcessPartner.AI retains all rights, title, and interest in and to the Platform, including software, features, and documentation.

You are granted a limited, non-exclusive, non-transferable right to access and use the Services in accordance with your subscription.

You retain ownership of:

  • Data and content you upload
  • Outputs generated through your use of the Services

We may process such data and outputs solely to deliver, operate, and improve the Services.

  1. Data Protection and Privacy

Our Privacy Policy explains how we collect, use, and protect personal data.

By using the Services, you consent to processing of data in accordance with that policy.

While we implement reasonable administrative, physical, and technical safeguards, no system is completely secure, and absolute security cannot be guaranteed.

  1. Indemnification

To the extent permitted by applicable law and subject to the Standard Contract where applicable, you agree to indemnify and hold harmless ProcessPartner.AI and its affiliates from claims arising from:

  • Misuse of the Services
  • Violation of these Terms
  • Infringement of third-party rights
  • Content or data you upload to the Platform
  1. Limitation of Liability

To the maximum extent permitted by law and subject to the Standard Contract where applicable:

  • The Services are provided “as-is” and “as-available”
  • We disclaim implied warranties of merchantability, fitness for purpose, and non-infringement
  • We are not liable for indirect, incidental, consequential, or punitive damages

Our total aggregate liability arising from these Terms shall not exceed the fees paid by you to ProcessPartner.AI in the twelve (12) months preceding the claim.

Nothing in these Terms excludes liability that cannot be excluded by law.

  1. Governing Law

For direct purchases of the Services, these Terms are governed by the laws of New South Wales, Australia, without regard to conflict-of-law principles.

For Marketplace purchases, governing law and dispute resolution are governed by the Standard Contract, and this section applies only to the extent not inconsistent with it.

  1. Changes to These Terms

We may update these Terms from time to time.

Material changes will be communicated through the Platform or via email. Continued use of the Services constitutes acceptance of the updated Terms.
