ProcessPartner.AI Terms of Service (v2)

Welcome to ProcessPartner.AI!
These Terms of Service (“Terms”) govern your access to and use of the ProcessPartner.AI platform (“Platform” or “Services”).
By creating an account, purchasing a subscription, or otherwise using our Services, you agree to be bound by these Terms.

 

1. Overview

ProcessPartner.AI provides a web-based platform that assists individuals and organizations in improving business processes through AI-generated templates, workflows, and analytics.

The Services are provided by ProcessPartner.AI Pty Ltd (ABN 51 684 425 349), located in New South Wales, Australia (“we,” “us,” or “our”).

 

2. Account Registration

You must create an account to access most features of the Platform.
You are responsible for maintaining the confidentiality of your credentials and for all activities occurring under your account.
You must immediately notify us of any unauthorized use or security breach affecting your account.

 

3. Subscription Plans

We offer the following subscription options:

  1. Free Plan – limited access to core features.
  2. Professional Plan – single-user license, billed monthly or annually.
  3. Enterprise Plan – team or organizational licenses, billed monthly or annually.

Subscription fees are displayed at the time of purchase and may be updated from time to time.

3. Billing and Payment

  • All fees are charged in U.S. Dollars (USD) unless otherwise stated.
  • Monthly subscriptions are billed monthly; annual subscriptions are billed upfront at a discounted rate.
  • Annual subscriptions are non-refundable. Cancellation prevents renewal but does not trigger a refund for any paid period.
  • Payments are securely processed through third-party providers; we do not store payment card details.

4. Cancellation and Termination

You may cancel your subscription anytime via your account settings.
Upon cancellation, you will retain access until the end of the current billing period.

We reserve the right to suspend or terminate any account that:

  • Violates these Terms,
  • Engages in fraudulent or unlawful activity, or
  • Presents a security or operational risk to our systems or other users.

5. Acceptable Use

You agree not to:

  • Use the Platform for any unlawful or prohibited purpose.
  • Attempt to reverse engineer, decompile, or modify the Platform’s code or security features.
  • Interfere with or disrupt servers, networks, or other users’ access.
  • Share your login credentials with unauthorized users.
  • Upload or transmit any content that infringes the intellectual property or privacy rights of others.

6. AI-Generated Output Disclaimer

ProcessPartner.AI uses artificial intelligence and automation to generate recommendations, templates, and process insights.

  • No Guarantee of Accuracy: AI-generated content may contain inaccuracies or omissions.
  • User Responsibility: You are solely responsible for reviewing, validating, and applying any AI-generated output.
  • No Professional Advice: The Platform does not provide legal, financial, or professional advice. You must exercise your own judgment before implementing any recommendations.

7. Intellectual Property

All content, features, software, and documentation on the Platform are owned by or licensed to ProcessPartner.AI.
You are granted a limited, non-exclusive, non-transferable license to access and use the Services in accordance with these Terms.

You retain ownership of data and content you upload, subject to our right to process and use such data to deliver and improve the Services.

8. Data and Privacy

Our Privacy Policy explains how we collect, use, and protect your information.
By using the Platform, you consent to the collection and use of data as described in that policy.

We implement reasonable administrative, physical, and technical safeguards to protect your data, but no online system is completely secure, and we cannot guarantee absolute protection against unauthorized access, hacking, or data loss.

9. Indemnification

You agree to indemnify, defend, and hold harmless ProcessPartner.AI, its directors, officers, employees, and affiliates from and against any claims, damages, losses, or expenses (including legal fees) arising out of:

  • Your misuse of the Platform,
  • Your violation of these Terms,
  • Your infringement of any intellectual property or data protection rights, or
  • Any third-party claim relating to your uploaded data or content.

10. Force Majeure / Third-Party Systems

We are not liable for any failure or delay resulting from causes beyond our reasonable control, including failures of third-party hosting providers (e.g. Microsoft Azure), APIs, internet connectivity, or force majeure events.

11. Limitation of Liability

To the maximum extent permitted by law:

1.    The Platform and all Services are provided “as-is” and “as-available”, without warranties of any kind, express or implied.

2.    We disclaim any warranties of merchantability, fitness for a particular purpose, or non-infringement.

3.    ProcessPartner.AI shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to lost profits, loss of data, or business interruption.

4.    Aggregate Liability Cap: In no event shall our total aggregate liability arising out of or related to these Terms exceed the total fees paid by you to ProcessPartner.AI in the twelve (12) months preceding the claim.

5.    Nothing in these Terms excludes or limits liability that cannot be excluded by law.

12. Governing Law and Jurisdiction

These Terms are governed by the laws of New South Wales, Australia.
Any dispute or claim arising under these Terms shall be subject to the exclusive jurisdiction of the courts of New South Wales.

13. Dispute Resolution

Before commencing legal proceedings, both parties agree to first attempt to resolve disputes through good-faith negotiation.
If unresolved, disputes may be referred to binding arbitration under the rules of the Australian Centre for International Commercial Arbitration (ACICA), with proceedings conducted in Sydney.

14. Changes to These Terms

We may update these Terms from time to time.
Material changes will be notified by email or through the Platform. Continued use of the Services after updates constitutes acceptance of the revised Terms.
